The terms that govern use of NovumOS.
NovumOS is an agent-native kanban and work-management service ( "NovumOS," the "Service"). The Service is operated by Rho Forge LLC, a Massachusetts limited liability company located at 67 Millbrook Street, Suite 520, Worcester, MA 01606, USA ("we," "us," "our").
These Terms of Service (the "Terms") are a binding agreement between you and Rho Forge LLC governing your access to and use of NovumOS. Please read them carefully. If you use NovumOS on behalf of an organization, you agree to these Terms for that organization and represent that you are authorized to do so; in that case "you" means the organization.
Our Privacy Policy explains how we handle personal data and is incorporated into these Terms by reference.
By creating an account, accessing, or using NovumOS, you agree to these Terms. If you do not agree, do not use the Service.
You sign in with an email address and password or with Google (OAuth). You are responsible for keeping your credentials secure and for all activity under your account. Notify us at security@novumos.app if you believe your account has been accessed without authorization.
NovumOS is organized around organizations (workspaces). Content — boards, cards, comments, and files — belongs to an organization, not to an individual account. An account may belong to more than one organization.
Access within an organization is governed by roles:
Boards may additionally be restricted (private) with per-board grants, and access within a board is governed by board-level roles (viewer, commenter, editor, manager). The organization's owner and admins do not silently override a restricted board's access controls; an owner may regain access only through an audited reclaim action. You are responsible for configuring these controls appropriately for your organization.
An organization may claim and verify a domain it controls. Once verified, users whose email addresses are verified at that domain may be automatically added to the organization as members on sign-in. If you claim a domain, you represent that you are authorized to administer it and to add users at that domain to your organization.
NovumOS treats AI agents as first-class, non-human members of your organization. An agent has its own identity, role, and audit trail, and acts on your organization's data using an API/MCP token that you create and configure.
You are responsible for your agents and for everything they do. Configuring an agent, granting it access, and connecting it to an automation runtime are your decisions. Actions taken by an agent using your organization's tokens are treated as actions taken by your organization, and you are responsible for them to the same extent as actions taken by a human member.
NovumOS does not provide, resell, or operate the AI models or inference that power your agents. Your agents run on your own AI-provider keys and accounts. You are solely responsible for:
We are not responsible for AI-provider costs, availability, or the content or consequences of AI outputs.
NovumOS exposes a REST API and a Model Context Protocol (MCP) server. Two kinds of tokens exist:
You are responsible for keeping tokens secret, for scoping them appropriately, and for revoking them when no longer needed. A token acts with the lower of its assigned role and its owner's current role.
The Service enforces rate limits (per user, per token, and per organization; see our documentation) and may return 429 responses when limits are exceeded. You must not attempt to circumvent rate limits, security controls, or tenant isolation, or use automated means to place an unreasonable load on the Service, disrupt it, or degrade it for others. We may throttle, suspend, or restrict access that we reasonably believe threatens the security, integrity, or availability of the Service.
You agree not to use NovumOS to:
You are responsible for the conduct of your members, guests, agents, and anyone you give access to your organization.
As between you and us, you own the content you and your members create, upload, or import into NovumOS — your boards, cards, comments, files, and imported data ( "Customer Content"). We claim no ownership of Customer Content.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Customer Content solely as needed to provide, secure, maintain, and support the Service for you — including creating backups, generating exports, delivering real-time updates, and serving content to the members, agents, and share-link recipients you authorize. This license exists only to run the Service for you and ends when the content is deleted, except for residual copies in backups that expire on our normal backup cycle.
We do not sell your Customer Content.
You represent that you have the rights necessary to submit Customer Content and to grant the license above, and that your content and its use do not violate law or third-party rights. Where Customer Content includes personal data about third parties, you are the controller of that data and we act as your processor in handling it on your instructions; the roles and safeguards for that processing are described in our Privacy Policy and, where applicable, a Data Processing Addendum.
If you send us suggestions or feedback about the Service, we may use them without restriction or obligation to you.
The Service itself — the software, design, user interface, documentation, and the NovumOS name and marks — is owned by Rho Forge LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. We reserve all rights not expressly granted. You may not copy, modify, reverse-engineer, or create derivative works of the Service except to the extent that restriction is prohibited by law.
NovumOS lets your organization make board content available to people outside the organization through share links (read-only or comment-only links that require no account). Publishing a share link is your choice and under your control. When you create a share link, you make the linked board content viewable by anyone who has the link, and you are responsible for deciding what to share and with whom. You can revoke any share link — or all of an organization's share links at once — at any time; revoking a link ends external access without changing who inside your organization can see the board. Do not create share links for content you are not authorized to disclose.
NovumOS offers a Free tier that is free to use and not time-limited. The Free tier includes up to 5 human members and 1 agent member per organization, with unlimited boards, and full "API-as-yourself" access. No payment card is required. If you reach a Free-tier limit, the Service returns a clear prompt to upgrade rather than silently degrading or deleting anything.
Paid subscriptions ("Pro") are billed per member seat — the same price for human and agent seats — at US$1 per seat per month billed annually, or US$3 per seat per month billed month-to-month. The first agent seat in each organization is included at no charge on every tier. There is no usage metering and no per-action or AI-credit charges; you pay for seats, not for activity.
Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees. Card data is handled by Stripe; we do not store your full card number. Prices are exclusive of taxes unless stated; you are responsible for applicable taxes.
Subscriptions renew automatically at the end of each billing period (annual or monthly) until cancelled. Adding or removing seats mid-cycle adjusts your charges on a prorated basis calculated by Stripe. You may change your billing interval through the customer portal.
Only an organization owner can start, change, or cancel a paid subscription. You may cancel at any time through the customer portal. On cancellation, your organization remains on the paid plan until the end of the current paid period, then returns to the Free tier.
Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods or unused seats.
We may change our prices. For paid subscriptions, we will give reasonable advance notice, and price changes take effect at your next renewal.
If a payment fails, Stripe retries it on its standard schedule and we email the organization's owner(s). If retries are exhausted, the organization enters a past-due, read-only state: members can still sign in, read, and export everything, but cannot create or change content until billing is fixed. Fixing billing (or paying the outstanding invoice) restores full access.
We do not delete your data for non-payment. If a past-due subscription is ultimately cancelled, the organization is moved to the Free tier with all data retained; only the Free-tier limits on adding new seats or content then apply going forward. Content already over the Free limits stays readable and exportable.
You can export your organization's boards, cards, comments, and files at any time, on every tier including Free, using the in-product one-click export. We maintain this export capability as a commitment to data portability, so you are never locked in. Business customers may also request a Data Processing Addendum governing our handling of personal data in Customer Content.
NovumOS integrates with third-party services at your direction — for example, signing in with Google, importing from Notion (using a token or export file you provide), and sending events to webhook endpoints you configure. Your use of those third-party services is governed by their own terms, and you are responsible for the destinations you configure and the data you send to them. Endpoints and destinations you configure are not part of the Service and are not our subprocessors. We are not responsible for third-party services.
You may stop using NovumOS at any time and may delete your account or organization. Before doing so, export any data you want to keep (§11).
We may suspend or terminate your access if you materially breach these Terms (including the Acceptable Use section), if required by law, or if your use poses a security or legal risk to the Service or others. Where practicable and lawful, we will give notice and an opportunity to cure.
On termination, your right to use the Service ends. We will make your data available for export for a grace period of 30 days after account or organization deletion, after which we will delete or de-identify Customer Content from active systems within a commercially reasonable time. Residual copies may persist in encrypted backups until they expire on our normal backup cycle (currently 30 days), and we may retain limited records (such as billing records and audit logs) as required by law or for legitimate business purposes. Our operational audit log is retained for 1 year.
We work to keep NovumOS reliable, but the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements, or that data will never be lost. We are not responsible for the outputs, decisions, or actions of AI agents you configure (see §4).
To the maximum extent permitted by law:
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
We respect intellectual-property rights and respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA).

We will respond to valid notices and counter-notices in accordance with the DMCA, and we will terminate, in appropriate circumstances, the accounts of repeat infringers.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. The state and federal courts located in Massachusetts will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.
You will defend, indemnify, and hold harmless Rho Forge LLC and its officers, members, and employees from and against any third-party claims, damages, liabilities, and reasonable costs (including attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service, including actions taken by your members, guests, and agents; (c) content you make public through share links; (d) your violation of these Terms or of law; or (e) your infringement of a third party's rights.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email to the organization owner or an in-product notice) before they take effect. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service and, if applicable, cancel your subscription.
